Important Notice

By downloading, installing, accessing, or using GSM Theme (the "Software"), you agree to be bound by this End-User License Agreement ("Agreement"). Please read it carefully.

  • You confirm that you have read and understood this Agreement.
  • You accept and agree to be legally bound by its terms.
  • You acknowledge that this Agreement supersedes any other terms or conditions you may seek to impose.

If you do not agree to these terms, do not install, download, or use the Software.

1. Definitions

"Software" means GSM Theme — including the script, admin panel, storefront, APIs, modules, dashboards, documentation, and all related services, whether SaaS-hosted or Self-Hosted.

"License Key" means the activation code issued upon purchase that enables and validates your use of the Software.

"Self-Hosted License" means the right to install and operate the Software on your own server under the restrictions defined in this Agreement.

"Reseller" means a sub-account user who sells services through your Software installation.

"Updates" means bug fixes, patches, enhancements, and new feature releases made available by GSM Theme during an active license period.

"You" / "Licensee" means the individual or legal entity that purchased a license and agrees to this Agreement.

2. License Grant

Subject to the terms of this Agreement and receipt of full payment, GSM Theme grants you a limited, non-exclusive, non-transferable license to:

  • Install and operate the Software on a single production domain.
  • Use the Software to manage orders, services, resellers, and customers for your own unlock or digital product business.
  • Receive updates and technical support during the active license period.

This license is for your own business operations only. It does not permit redistribution, resale, or sublicensing of the Software itself.

3. Restrictions of Use

You may not, under any circumstances:

  • Copy, modify, distribute, sell, or sublicense the Software or any portion of its source code.
  • Remove or alter any copyright, trademark, or proprietary notices within the Software.
  • Reverse engineer, decompile, or disassemble the Software.
  • Use the Software to build a competing product or service.
  • Share, transfer, or resell your License Key to any third party.
  • Install the Software on more than one production domain without purchasing additional licenses.

4. Ownership & Intellectual Property

GSM Theme and its licensors retain all ownership, title, and intellectual property rights in the Software, including all modifications, updates, and derivative works.

Purchasing a license grants you a right to use the Software — it does not transfer ownership of any kind. All rights not expressly granted are reserved by GSM Theme.

5. Third-Party APIs

The Software integrates with third-party supplier APIs, payment gateways, and communication services. GSM Theme does not own or control these services and is not responsible for their availability, accuracy, or conduct.

You are solely responsible for ensuring your use of third-party integrations complies with their respective terms of service. Interruptions or changes in third-party services do not constitute grounds for a refund or breach of this Agreement.

6. Acceptable Use Policy

You agree to use the Software only for lawful purposes. Prohibited uses include but are not limited to:

  • Processing orders for illegal unlocking services or stolen devices.
  • Fraudulent transactions or misrepresentation of services.
  • Spamming customers or resellers using built-in communication tools.
  • Circumventing supplier API terms or rate limits.
  • Any activity that violates applicable local, national, or international law.

7. User Responsibilities

You are solely responsible for:

  • The security of your server, credentials, and admin panel access.
  • All activity that occurs under your account and reseller accounts.
  • Maintaining adequate backups of your data.
  • Ensuring your server meets minimum requirements for the Software to operate correctly.
  • Complying with all applicable laws in your jurisdiction related to the services you offer.

8. License Validation & Telemetry

The Software periodically communicates with GSM Theme's licensing servers to validate your License Key and detect unauthorized use. This validation is non-negotiable and required for the Software to function.

Attempting to disable, spoof, or circumvent license validation will result in immediate deactivation of your license without refund.

9. Payments & Fees

All fees are payable in full at the time of purchase. The activation fee grants a lifetime license to run the Software. The optional annual renewal fee covers continued technical support and system updates.

Failure to renew does not deactivate the Software — it only pauses access to new updates and technical support until renewed.

10. Updates & Feature Changes

GSM Theme may add, modify, or remove features at any time. While we aim to communicate significant changes in advance, we are not obligated to maintain any specific feature indefinitely.

Updates are delivered automatically during an active renewal period and must be applied to benefit from security patches and new functionality.

11. Agreement Modifications

GSM Theme reserves the right to update this Agreement at any time. Continued use of the Software after notification of changes constitutes acceptance of the updated terms.

We will notify active licensees of material changes via email or through the admin panel. The most current version of this Agreement is always available at our website.

12. Suspension & Termination

GSM Theme may suspend or terminate your license immediately and without notice if you:

  • Violate any provision of this Agreement.
  • Engage in fraudulent or illegal activity using the Software.
  • Attempt to reverse engineer or circumvent licensing mechanisms.
  • Share your License Key with unauthorized parties.

Upon termination, you must cease all use of the Software and destroy all copies in your possession. No refund will be issued for terminated licenses.

13. Data & Privacy

You are the data controller for all customer and reseller data processed through your Software installation. You are responsible for compliance with applicable data protection laws including but not limited to GDPR.

GSM Theme only collects minimal technical data necessary for license validation and support. We do not access, sell, or share your business data.

14. Limited Warranty

GSM Theme warrants that the Software will perform materially as described in the official documentation for a period of 90 days from the date of purchase.

This warranty does not cover issues arising from server misconfiguration, unauthorized modifications, or incompatible third-party environments.

15. Disclaimer of Warranties

Except as expressly stated in Section 15, the Software is provided "as is" without warranty of any kind. GSM Theme expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free or uninterrupted, or that defects will be corrected within any specific timeframe.

16. Limitation of Liability

To the maximum extent permitted by applicable law, GSM Theme shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost revenue, lost data, or business interruption — arising from your use of or inability to use the Software.

In no event shall GSM Theme's total aggregate liability exceed the amount paid by you for the Software in the twelve months preceding the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless GSM Theme and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of the Software.
  • Your violation of this Agreement or any applicable law.
  • Content, services, or transactions facilitated through your installation.

18. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising under this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties.

If resolution cannot be reached within 30 days, either party may pursue available legal remedies. You agree that any claim must be filed within one year of the event giving rise to the dispute.
